What you're agreeing to

When your organization signs the SOVA MSA, you're entering a commercial software-as-a-service agreement. The agreement governs how SOVA delivers the platform, how your data is handled, what happens if something goes wrong, and how either party can end the relationship.

Your data stays yours

SOVA is a processor, not an owner. You can export your data in standard SQL format at any time.

Privacy by default

Biometric features are off unless you explicitly enable them under a separate addendum.

No AI training

SOVA does not train AI models on your data, and our AI providers are contractually prohibited from doing so.

Clear liability limits

Both parties have defined liability caps tied to the fees paid in the trailing twelve months.

Customer data and privacy

You own your data. SOVA processes it only as needed to provide the service. You're responsible for the content you upload.

Biometric features

Disabled by default. Enabled only after you sign a separate Biometric Addendum and confirm legal compliance for your jurisdictions.

§ 21

Indemnification

SOVA defends you against claims that the platform infringes someone else's IP. You defend SOVA against claims arising from your use, your content, and your compliance choices.

§ 24

Limitations of liability

General liability is capped at trailing 12-month fees. Data and security claims have a higher cap. Some categories have an absolute ceiling tied to insurance.

§ 25–27

Termination, data export, and deletion

Either party can terminate with notice. You can export your data on the way out. SOVA deletes remaining data after a defined window.

§ 29

Insurance

SOVA carries Commercial General Liability, Auto, and Workers' Comp coverage, and is binding Cyber Liability coverage within 60 days of contract execution.

§ 30

Operations and continuity

SOVA's operational support team includes overseas members with role-based access limited to operational functions and your organizational contacts — never visitor or incident records.
