This article provides an overview of the documents involved in a SOVA Customer contract, as a navigation aid for Customers, prospective Customers, and their counsel. This article is informational; the binding terms are set out in the documents themselves.
A SOVA Customer contract typically consists of four sets of documents:
The Order Form is the contractual starting point. It is prepared by SOVA, signed by the Customer, and references the other documents that govern the Customer’s use of the SOVA Services and the relationship between SOVA and the Customer.
General Terms and Conditions
The Master Services Agreement (MSA) sets out the contracting terms governing a Customer’s use of the SOVA Services. The Order Form references the MSA by version, and the MSA in turn incorporates other operative documents.
- Master Services Agreement — the primary contract, governing the use of the SOVA Services, intellectual property, confidentiality, warranties, liability, term and termination, and other commercial and legal provisions.
Situational addenda. Depending on the Customer’s use of the SOVA Services, additional addenda may be executed alongside the MSA:
- Data Processing Agreement — executed where SOVA processes personal data on the Customer’s behalf. Required for most Customers and addressed automatically as part of new contracts.
- Biometric Data Addendum — executed only where the Customer elects to enable biometric features at one or more sites. Biometric features are disabled by default and require legal review of the applicable jurisdiction before activation.
- EU/UK Transfer Addendum — executed only where the Customer requires processing of personal data of EU, EEA, UK, or Swiss data subjects.
Platform User Agreement. Separate from the Customer’s contract with SOVA, individuals who access the SOVA Services through a Customer’s account (security officers, dispatchers, administrators, and other authorized end users) are bound by the SOVA
Platform User Agreement. This agreement is presented for acceptance at first login to the SOVA web portal or mobile application, and on material updates.
The Order Form is the Customer’s primary commercial contract with SOVA. It documents:
- The SOVA entity contracting with the Customer
- The Customer entity and authorized signer
- The specific SOVA Services or modules being purchased
- Pricing, payment terms, and billing arrangements
- The license model (for example, number of authorized devices, sites, or users)
- The contract term and renewal arrangements
- Specific commercial terms unique to the engagement
- Reference to the version of the MSA and applicable addenda governing the engagement
For multi-site Customers operating under a corporate or master arrangement, an Order Form may incorporate by reference a corporate-level master agreement signed separately, and the Order Form may be signed by an authorized representative at the property or site level.
The Order Form is prepared by SOVA on a per-Customer basis. To request a copy or to begin contracting, contact SOVA at +1 844-961-3690.
SOVA’s product capabilities, configurations, and specifications — including service availability targets, supported devices, supported integrations, and operational characteristics — are described in product documentation made available to Customers and prospective Customers. The Order Form references the specific Services and modules being purchased.
Privacy and Security Terms
